• B2B Focus: Our website and products are primarily intended for Business-to-Business (B2B) transactions. By submitting an inquiry or order, you represent that you are acting on behalf of a business, corporation, or professional entity.

2. Product Specifications & Customization

• Descriptions & Drawings: We strive to ensure that all technical specifications, dimensions, grade details, and performance descriptions of our PDC cutters are accurate. However, minor variations may occur due to manufacturing tolerances and ongoing product upgrades.
• Custom Orders (OEM/ODM): Custom-engineered PDC cutters produced according to buyer-provided drawings or technical requirements are non-cancellable and non-refundable once production has commenced, unless agreed upon in writing.

3. Quotations, Pricing & Orders

• Quotations: Quotations provided via email or formal Proforma Invoice (PI) are valid for the period specified therein (typically 30 days), subject to raw material market fluctuations.
• Order Acceptance: An order is considered accepted only after we issue a formal Order Confirmation or Proforma Invoice (PI), and receive the agreed-upon deposit or full payment.
• Price Changes: Prices listed on the Site are for reference or baseline negotiation and are subject to change without notice until a formal PI is executed.

4. Payment Terms

• Accepted Methods: Unless otherwise specified in writing, payment must be made in USD (or EUR/RMB as agreed) via Wire Transfer (T/T), Letter of Credit (L/C), or other agreed commercial payment methods.
• Bank Charges: Any bank intermediary fees, transfer charges, or exchange rate losses incurred during wire transfers shall be borne by the buyer, unless explicitly stated otherwise.

5. Shipping, Delivery & Export Control

• Incoterms: Shipping terms (e.g., FOB, CIF, DAP, EXW) shall be governed by the Incoterms® 2020 rules specified in the agreed Proforma Invoice or Sales Contract.
• Delivery Schedule: Estimated lead times and delivery dates are provided in good faith but are not guaranteed. We are not liable for delays caused by customs clearance, shipping carrier delays, or Force Majeure.
• Export & Import Compliance: Buyers are responsible for ensuring that the importation and use of PDC cutters comply with all local laws, import duties, and trade regulations in the destination country.

6. Inspection, Acceptance & Warranty

• Inspection: Upon receipt of shipment, the buyer must inspect the goods immediately. Any damages, shortages, or visual defects must be reported to us in writing within 7–14 days of delivery.
• Warranty: We warrant that our PDC cutters are free from material defects in workmanship and materials under standard industrial operating conditions.
• Warranty Exclusions: This warranty does not cover:
  • Damage caused by improper installation, improper brazing, misuse, or exceeding specified working parameters.
  • Normal wear and tear inherent to high-impact drilling and cutting applications.
  • Unauthorized modifications or repairs to the product.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Wuhan Ninestones Superabrasives Co., Ltd. shall not be liable for any indirect, incidental, consequential, or punitive damages (including but not limited to loss of profits, downtime, field operation failures, or rig delay costs) arising out of or related to the use of our products or website. Our total liability for any claim shall not exceed the total purchase price paid by the buyer for the specific products giving rise to the claim.
